2.2 The Agency will make reasonable efforts to meet project deadlines and deliver high-quality work, adhering to industry standards and best practices.
2.3 The Agency retains the right to subcontract certain services or engage third-party contractors, as deemed necessary for project completion.
- Client Responsibilities
3.1 The Client agrees to provide the Agency with all necessary materials, content, and information required for the website design and development process within the agreed timeframe.
3.2 The Client is responsible for ensuring that any content provided does not infringe upon any third-party rights, including copyright or intellectual property.
3.3 The Client shall promptly review and provide feedback on design concepts, drafts, and deliverables presented by the Agency during the project. Failure to provide feedback within a reasonable timeframe may result in project delays or additional fees.
- Payment Terms
4.1 The Agency’s services are provided at the rates specified in the project agreement or proposal. Payment terms and schedules will be outlined in the project agreement.
4.2 The Client agrees to pay the Agency the agreed-upon fees for services rendered within the specified payment schedule. Failure to make timely payments may result in project delays or suspension of services.
4.3 All payments shall be made in the currency specified in the project agreement, unless otherwise agreed upon in writing by both parties.
4.4 The Agency reserves the right to modify the project fees and payment terms for any additional services requested by the Client that are outside the scope of the original project agreement.
- Intellectual Property
5.1 The Agency acknowledges that any content, trademarks, or copyrighted materials provided by the Client for the purpose of website design and development remain the property of the Client.
5.2 Upon project completion and full payment, the Agency assigns to the Client all rights and ownership to the website design, excluding any third-party assets or software used under license.
- Confidentiality
6.1 The Agency agrees to keep all information provided by the Client confidential and to use such information solely for the purpose of providing the agreed-upon services. This obligation shall continue even after the termination of the project.
- Limitation of Liability
7.1 The Agency shall not be held liable for any direct, indirect, incidental, consequential, or special damages arising out of or in connection with the use of the website or services, including but not limited to lost profits, data loss, or interruption of business.
7.2 The Agency’s liability shall not exceed the total amount paid by the Client for the specific project.
- Governing Law and Jurisdiction
8.1 These Terms shall be governed by and construed in accordance with the laws of Hungary.
8.2 Any dispute arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts in Hungary.
9.1 The Agency reserves the right to amend these Terms at any time without prior notice. Any modifications will be effective immediately upon posting on the Agency’s website. It is the responsibility of the Client to review these Terms periodically for any updates or changes.
9.2 By continuing to access or use the Agency’s website or services after any modifications to these Terms, the Client agrees to be bound by the revised Terms.
- Severability
10.1 If any provision of these Terms is found to be invalid, illegal, or unenforceable, the remaining provisions shall continue to be valid and enforceable to the fullest extent permitted by law.
- Entire Agreement
11.1 These Terms constitute the entire agreement between the Agency and the Client regarding the use of the website and provision of services, and supersede any prior agreements or understandings, whether written or oral.
11.2 No waiver of any provision of these Terms shall be deemed a further or continuing waiver of such provision or any other provision.
